Terms & Conditions

Please read these terms carefully before using our website or working with Orvio.

Last updated: October 20, 2026

01Acceptance of terms

These Terms & Conditions (“Terms”) apply to your use of orvio.agency (the “Website”) and to the design and development services provided by Orvio (“Orvio”, “we”, “us” or “our”), a digital product agency based in Rangpur, Bangladesh. By using the Website, or by hiring us for a project or plan, you agree to these Terms and to our Privacy Policy.

If you accept on behalf of a company or other organisation, you confirm that you have the authority to bind it. In these Terms, “you” and “Client” mean you or that organisation.

02Our services

Orvio provides web-based digital services, including:

  • UI/UX design, wireframes and strategy
  • SaaS product and dashboard design
  • Mobile app design
  • Website and landing page design, including copy
  • Web and app development, including Next.js, WordPress, Webflow and Framer builds
  • Branding and design systems
  • Ongoing design support through monthly plans and custom support packages

The scope, deliverables, timeline and fees of each engagement are set out in a written proposal, quote, plan description or agreement that you accept (the “Project Agreement”). If a Project Agreement conflicts with these Terms, the Project Agreement prevails for that engagement.

03Using the Website

You agree to use the Website lawfully. You must not:

  • Try to gain unauthorised access to the Website, our systems or other people’s data
  • Disrupt the Website or introduce malware or harmful code
  • Scrape, copy or republish the Website’s content, designs or portfolio at scale without our permission
  • Submit false or abusive information through our forms

Portfolio images on the Website are displayed to show our work. Project names and brands shown belong to their respective owners.

04Proposals, scope and changes

Prices, plans and spot availability shown on the Website are indicative and can change. They are not a binding offer until we confirm scope and fees in a Project Agreement.

  • Work starts after you accept the Project Agreement and, where required, pay the deposit or first payment.
  • Anything outside the agreed scope, such as extra pages, screens, features, integrations or platforms, is a change request and may change the price and timeline. We will confirm it with you before starting.
  • Estimates of timing depend on prompt feedback, content and access from you. Delays on your side can move delivery dates.

05Plans described on our Pricing page

Our standard plans are summarised on the Pricing page and are shown in US dollars. The details below describe how they work; your Project Agreement is the final word.

  • Landing Page. A fixed-scope project covering website copy, wireframes and strategy, custom layout design, a mobile-responsive design, a delivered Figma file, updates every 48 hours while the project is active, and two rounds of revisions. Development is an optional add-on priced separately.
  • Monthly Plan. A subscription for ongoing design work. It covers unlimited design requests, handled one to two active requests at a time, up to 80 hours per month, branding, website, app and MVP design, collaboration over Slack or Discord, and updates every 48 hours. You can pause or cancel anytime. A one-week trial (20 hours) is available at the price shown. Code development is not included unless we agree otherwise.
  • Custom Support. A tailored package, for example a dedicated senior team, multiple concurrent projects, design plus development, a copywriter and project manager, bi-weekly strategy calls and priority support. Scope and price are quoted individually.

Plan availability is limited by team capacity. Showing a plan on the Website, including any “spots left” notice, does not guarantee that a spot is available when you ask.

06Payments

Fees, deposits, milestones, billing periods and due dates are stated in your Project Agreement or invoice. Unless agreed otherwise, invoices are due within the period shown on the invoice.

  • Fixed-scope projects are usually invoiced in stages, such as a deposit before work starts and the balance at delivery or milestones. Final files and live deployment can be held until the balance is paid.
  • Monthly plans are billed for the period shown on the invoice. If you pause or cancel, the change applies from the end of the current billing period, and time that has already been used is not refunded.
  • Payment-processor fees, bank charges, currency conversion and applicable taxes are your responsibility unless stated otherwise.
  • If an invoice is overdue we may pause work, and we may delay delivery of files until payment is received.
  • Deposits and payments for work already completed are non-refundable unless the Project Agreement says otherwise.

07Client responsibilities

To keep your project on schedule, you agree to:

  • Provide accurate content, brand assets, product information and access (for example to your domain, hosting, CMS, Figma, repositories or app-store accounts) on time
  • Give clear, consolidated feedback and approvals within the timeframe agreed
  • Make sure you own, or have a licence for, everything you give us, including text, images, logos, fonts, data and third-party materials, and that using it does not infringe anyone’s rights
  • Share logins through secure invitations or team access, and remove our access when the project or plan ends

08Revisions, delivery and approval

Each Project Agreement includes a number of revision rounds. A revision refines work that has already been presented; changing direction, adding new requirements or redoing approved work is a change request. In Monthly Plans, requests are worked through in the order and number of active requests described in the plan.

We share work for review through our agreed channels (for example Figma, a staging link, Slack or Discord). Work is treated as approved when you confirm it, or when the review period in the Project Agreement passes without feedback. Late changes to approved work may be treated as a change request.

09Design deliverables

Design deliverables are the final files named in the Project Agreement, such as a Figma file and exported assets. Working files, explorations and drafts that are not named as deliverables remain ours.

Fonts, stock photography, icons, illustrations and other third-party assets used in your designs are licensed under their own terms. Unless the Project Agreement says we acquired a licence for you, you are responsible for licensing them for your own use.

10Development deliverables

Where development is included, we build the website, web app or app features described in the Project Agreement and, unless agreed otherwise, test them on the browsers and devices we agree with you.

  • Hosting, domains, CMS licences, plugins, APIs, email services and similar subscriptions are separate third-party costs, usually in your own accounts, unless we agree to provide them.
  • After launch, we fix defects in the agreed scope reported to us within the support period stated in the Project Agreement. New features, content changes, upgrades and fixes caused by third-party updates are separate work.
  • You are responsible for keeping backups, credentials and software updates of your live product after handover, unless you contract us for maintenance.
  • Development is not included in the Monthly Plan unless we agree otherwise in writing.

11Mobile apps

App design and development are subject to Apple’s and Google’s developer terms, review guidelines and fees. Developer accounts should be created and owned by you. We can help prepare store listings and submissions, but we do not control store review and do not guarantee that an app will be approved or stay published.

12Intellectual property

  • Your materials. You keep ownership of the content, brand assets and data you give us. You grant us a licence to use them only to perform the work.
  • Final deliverables. After we receive full payment, ownership of the final deliverables created specifically for you under the Project Agreement transfers to you. Until then they remain ours and you may not use them in production.
  • Our tools. Orvio keeps ownership of its pre-existing and general-purpose tools, templates, components, code libraries, processes and know-how, and grants you a non-exclusive, perpetual licence to use any of them that are part of your deliverables.
  • Open-source and third-party code. These stay under their own licences, which may carry their own requirements.
  • Website content. Text, graphics, logos and design on orvio.agency belong to Orvio or its licensors and may not be reused without permission.

13Portfolio and credit

Unless we agree otherwise in writing, we may show your finished project, in whole or in part, in our portfolio, case studies and on platforms such as Dribbble, and may name you as a client. If your project is confidential or under embargo, tell us before we start, and we will not publish it until you agree.

14Confidentiality

Each party will keep the other’s non-public business, product, technical and financial information confidential, use it only for the project, and share it only with people who need it and are bound by similar duties. This does not cover information that is public, already known to the receiving party, independently developed, or required to be disclosed by law. We are glad to sign a separate NDA before you share sensitive material.

15Third-party services

Our work often relies on third-party platforms such as Figma, Slack, Discord, Cal.com, GitHub, hosting providers, Webflow, Framer, WordPress and its plugins, payment gateways, analytics and APIs. They run under their own terms, pricing and availability. Orvio is not responsible for changes, outages, security issues or fees from those providers.

16Data protection in client projects

For personal data of your own users or customers that we handle while building or supporting your product, you are the party responsible for it and we process it only on your instructions to perform the work, as described in our Privacy Policy. You are responsible for your own privacy notices, consents and compliance with the laws that apply to your product and audience. If you need a data-processing agreement, ask us before the project starts.

17Disclaimer of warranties

The Website and our services are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including fitness for a particular purpose and non-infringement. We design and build to professional standards, but we do not guarantee particular business results, such as revenue, conversions, search rankings, traffic, user growth, investor outcomes, app-store approval, or uninterrupted availability of third-party services.

18Limitation of liability

To the fullest extent permitted by law, Orvio is not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, data, goodwill or business opportunities, arising from your use of the Website or our services.

Our total liability for any claim connected to a project or plan is limited to the fees you paid to Orvio for that project or plan in the three months before the claim arose.

19Indemnity

You agree to defend and reimburse Orvio against claims, losses and costs arising from materials you provide (for example copyright or trademark claims), from your use of the deliverables in breach of these Terms or the law, or from the product or business you operate using our work.

20Termination and cancellation

  • Either party may end a project as set out in the Project Agreement, or by written notice if the other party materially breaches these Terms and does not fix it within a reasonable period.
  • If a project ends early, you pay for all work completed and costs incurred up to that date, and we hand over the work completed that has been paid for.
  • Monthly plans can be paused or cancelled at any time and take effect at the end of the current billing period.
  • We may suspend or end your access to the Website if you breach these Terms.

Provisions that by nature should continue after termination, such as payment, intellectual property, confidentiality, disclaimers and liability, will continue to apply.

21Governing law and disputes

These Terms are governed by the laws of Bangladesh. Please contact us first so we can try to settle any dispute in good faith. If we cannot, the courts of Bangladesh have exclusive jurisdiction, unless your Project Agreement states otherwise.

22Changes to these terms

We may update these Terms from time to time and will change the “Last updated” date above. Continuing to use the Website after an update means you accept the revised Terms. Updates do not change a Project Agreement already accepted unless both parties agree.
